Ufund is a commercial technology service company legally constituted under the laws of the Plurinational State of Bolivia, under the business name Task Services S.R.L., a limited liability company with Tax Identification Number 504886024.

Ufund is the creator and owner of this online platform that allows organizations or project creators to connect with individuals or organizations interested in supporting these projects, ventures, and charitable causes in Bolivia through its website (the “Platform”).

2. What are these Terms and Conditions?

The purpose of this document is to establish the terms and conditions (hereinafter, the “Terms”) of use of the Platform that regulates the relationship between you as a user (the “User”) and Ufund, describing the rights and obligations of each.

These Terms are contained in a digital format, constituting a fully valid contract between the User and Ufund, effective from the date of express acceptance by the User.

3. Acceptance, Capacity, and Privacy

By clicking or pressing the acceptance button related to this document, the User declares that:
 

1. + They agree with the integrity of what is contained in these Terms.
2. + They are over 18 years old and legally competent, according to the Applicable Law.
3. + They have the legal representation to subscribe to these Terms, if applicable, that the User acts on behalf of third parties or a legal person.
4. + They commit to comply with these Terms.
5. + They provide truthful, complete, and updated information.

4. Definitions

Contribution: This is a monetary collaboration raised through a Rewards Campaign, granted by a natural or legal person to a Creator for the development and execution of their Project.

Sponsor: This is a User who makes a Contribution to a Creator of a Rewards Campaign.

Services: Ufund's mission is to connect Donors or Sponsors with Campaign Creators, and for this, it provides access and use services of the Platform, and related services necessary for the realization and facilitation of the Campaigns, all in exchange for a commission.

Non-profit Organizations: These are Users that publish their Donation Campaigns on the Platform to raise funds for their Projects (hereinafter, “Organization”).

Donation of Modest Value: These are monetary contributions with a modest value according to the economic conditions of the donor, granted voluntarily and free of charge to an Organization for the development and execution of a specific Campaign.

Donor: This is a User who makes a Donation to an Organization through a Donation Campaign.

Campaign: These are created by Creators or Organizations, published on the Platform with the purpose of raising money. A Campaign can be for Donations or Rewards, depending on its purpose, and contains all the information about the Organization or Creator and the Project so that the Donor or Sponsor can make an informed decision about a possible Donation or Contribution.

Creator: These are Users, whether natural or legal persons, who do not have a charitable purpose and who publish Rewards Campaigns on the Platform to raise funds for the development of their Projects.

Applicable Law: Any law, decree, regulation, administrative resolution, or any other norm approved by a competent Authority in the Country.

Project: This is one that seeks to be developed by a Creator or Organization through obtaining Contributions or Donations.

Rewards: These are those committed by a Creator and can consist of: digital certificates of appreciation, special mentions on websites, discounts on future purchases, T-shirts, among others; in exchange for receiving funding from a Sponsor.

User: These are natural or legal persons who have registered on the Platform either to raise funds or to make a donation or contribution.

Platform: Digital environment, software, or infrastructure provided by Ufund through its website and mobile applications, which allows Users to interact, publish campaigns, conduct transactions, and communicate within the ecosystem. In addition to the website and mobile applications, the platform includes associated tools and any other service or feature offered by Ufund to facilitate transactions and interactions between Users.

Any reference to these definitions includes their plurals.

5. Service Features

Ufund is exclusively limited to providing the Platform to connect Donors or Sponsors with Creators or Organizations and facilitating the transfer of Donations and Contributions from fund providers to fund recipients.

The Platform has informational, connection, and other functionalities related to the realization of Campaigns, such as spaces to publish Campaigns, information about the Creator or Organization, the duration and objectives of the Campaign, and processes to express interest in Campaigns or make Contributions or Donations to the Creator or Organization.

In this sense, the legal relationship for granting and receiving funds occurs exclusively between potential Donors and Sponsors on one side and potential Creators on the other.

Ufund does not provide financial services and is not a financial intermediary or supplementary financial services entity. Ufund is limited to being a channel for temporarily collecting funds and transferring them to Organizations or Creators for the development of their Campaigns.

Ufund provides two modalities for the provision of Services: 1) Rewards and 2) Donations. The Services are provided concerning these two modalities, without Ufund being part of the contracts or obligations committed between Sponsors/Donors and Creators/Organizations.

Campaigns may be reviewed from time to time by Ufund. If a Campaign does not meet Ufund's requested requirements, it cannot be published on the Platform. Ufund reserves the right to reject any Campaigns that do not comply with these Terms.

Ufund may use external payment processing partners to collect Donations or Contributions from a Campaign (“Payment Processor”). The User acknowledges and agrees that the use of Payment Processors is an integral part of the Services and that Ufund may exchange information with Payment Processors to facilitate the provision of the Services.

6. Account Creation

To use the Platform and publish your Campaign, the Organization or Creator must register with Ufund to access and utilize certain functions of the Services. The Platform contains a limited version of its functionalities for unregistered users.

If you choose to register for the Services, you agree to provide and maintain truthful, accurate, updated, and complete information as requested in the registration form for the Services. Organizations or Creators must register with their true identity and/or the identities of legally authorized representatives, including their name, address, and any image or video intended to represent the Organization/Creator of the Campaign. The Organization/Creator agrees to keep the registration information updated.

The Organization or Creator is responsible for preserving the confidentiality of their username and password and is fully responsible for each of the activities carried out with them. The Organization or Creator agrees to: (i) immediately notify Ufund of any unauthorized use of their username and password or any other security breach of their account; and (ii) log out of their account at the end of each session when accessing the Services. Ufund does not accept any legal responsibility for losses or damages resulting from your failure to comply with the provisions in these Terms.

7. Campaign Content

Organizations and Creators are solely responsible for all content they upload, publish, provide, display, or transmit in their Campaign; as well as ensuring that the funds raised are used for the purposes described in the Campaign.

Ufund will request the Organization or Creator to back up all information provided on the Platform and reserves the right to deactivate the use of the Services, remove offensive content, suspend or terminate their account, stop, suspend, or withhold Donations or Contributions, and report to the competent authorities any act that Ufund considers contrary to and in violation of the Applicable Law.

8. Ufund's Responsibility

All information about the Campaigns published on the Platform is for informational purposes only, and Ufund does not guarantee the accuracy, completeness, availability, or truthfulness of such information or content. Ufund does not supervise Campaigns, their progress, or timeliness and is not responsible for their non-compliance. The responsibility for the Campaigns and their proper execution lies with the Creators or Organizations that publish them on the Platform.

Ufund is not responsible for any damages resulting from the non-compliance of the Campaigns. Sponsors and Donors release Ufund from any claims, damages, and losses arising from any controversy between the Creators/Organizations and the Sponsors/Donors.

Moreover, Ufund is not responsible for the tax obligations that Organizations or Creators may incur as a result of receiving Contributions or Donations.

9. User Rights and Obligations

The User has the right to:
Use and access the Platform, provided they comply with the stipulations established in these Terms.
The User is responsible for:
 

1. + The legal and reasonable use of the Platform.
2. + Their information and access keys to the Platform.
3. + The transactions made on Ufund Platforms.
4. + Transactions made by third parties who have unauthorized access to their financial data.
5. + Reporting the loss, theft, or unauthorized use of their access key to the Platform.

10. Prohibitions

The User is prohibited from engaging in the following activities:

a) Using the Services for the purpose of:
 

• + Promote or involve Campaigns that are illegal, fraudulent, deceptive, inaccurate, dishonest, or impossible;
• + Fund human trafficking or exploitation, or pay bribes;
• + Participate or collaborate in the marketing of drugs, narcotics, restricted substances, controlled substances, prohibited products, or harmful substances.
• + Promote behaviors that, at Ufund's sole discretion, are deemed abuse of power or that encourage terrorism, hatred, violence, harassment, intimidation, discrimination, terrorism, financing of terrorism, or intolerance of any kind, or that reflect an abuse of power concerning race, ethnicity, nationality, religious affiliation, sexual orientation, sex, gender, gender identity, disabilities, or illnesses;
• + Publish content that damages the reputation of a third party.
• + Publish offensive, graphic, perverse, sensitive, or sexual content;
• + Participate or collaborate in pyramid selling schemes;
• + Infringe upon the intellectual property rights of third parties.
• + Raise funds for any purpose other than that described in the Campaign description;

b) Upload content that contains software viruses or other code, files, or computer programs designed to interrupt, destroy, or limit the functionality of any software or hardware or telecommunications equipment;
c) Interfere with or disrupt networks or websites connected to the Platform, or disrupt them; and make, transmit, or store electronic copies of materials protected by copyright without permission from the owner.
d) Violate the privacy or security rights of any person;
e) Use the Platform to carry out any activity contrary to the laws and regulations of the Country.
f) Use the Services on behalf of a third party or publish personal data or other information about a third party without their express consent.

11. Applicable Law and Conflict Resolution

These Terms are governed by the legislation of the Plurinational State of Bolivia.

Any disputes arising between the User and Ufund regarding the interpretation, application, validity, compliance, or non-compliance and resolution of the Terms or their related documents will be definitively resolved by submitting to the judges or judicial courts of Bolivia.

In the event that one or more clauses of these Terms are declared null or unenforceable, this will not affect the validity of the other clauses.

Clauses that are declared null will be interpreted under the Applicable Law in effect at that time, provided that it does not affect the essence of these Terms.

12. Use of Data

Ufund will collect the data established in Section 6 of these Terms for the purpose of registering you as a User of the Platform and providing the Service. This data is processed for the purposes of using the Platform, processing the amounts raised, and for registration purposes. Ufund will store this data once the Services are completed for registration purposes. The User authorizes Ufund to share this data with third parties necessary for the provision of Ufund services to Users.

The User acknowledges that Ufund has no obligation to retain data related to any account, Campaign, or Organization/Creator. Ufund reserves the right to delete data, close accounts, or terminate Campaigns at any time and with prior notice when Ufund deems appropriate.

13. Site Availability

Although Ufund aims to provide the best possible service, it makes no promise that the Services on the Platform will be free of failures. If a failure occurs on the Platform, the User should communicate it to Ufund using the contact information in section 176. Ufund will attempt to correct the failure as soon as reasonably possible.

The User acknowledges that the availability, accessibility, and use of the site also depend on factors external to Ufund.

Access to the site may occasionally be restricted to allow for repairs, maintenance, or the introduction of new features or services. Ufund will resume access as soon as reasonably possible.

14. Industrial and Intellectual Property Rights

Ufund content is protected by copyright, trademarks, database rights, and other intellectual property rights belonging to Ufund or its licensors. The User may search and view the content of the Platform or print a copy of such content for personal and non-commercial use. The User may not reproduce, modify, copy, or distribute or use for commercial purposes any content from the Platform or any of these materials without prior written permission from Ufund.

Nothing in these Terms constitutes a license to use any Ufund trademark by the User, apart from incidental and inevitable use during the extraction, viewing, storage, or printing allowed of any content from the Platform.

15. Modification and Termination

The Terms and Conditions may be updated by Ufund to reflect the current state of its business and Services. Ufund will notify and obtain the User's consent for the implementation of any changes to the current conditions of these Terms. Ufund will inform Users via email or through the Platform at least 30 days in advance of any modifications to its Terms.

The modified Terms accepted by the User will replace any prior agreements between Ufund and the User.

The User may cease using the Services at any time. Ufund may deny the provision of Services at any time if Ufund can no longer provide the Services or if the User breaches the provisions of these Terms, as well as delete and discard any content or data from the Platform.

16. Assignment of Rights

The User may not assign their rights and obligations under these Terms. Ufund may assign its rights and obligations provided that it notifies the User at least one day in advance.
